COMPLIANCE WITH LAWS – Seller warrants that goods manufactured or services performed pursuant to this purchase order are performed or manufactured and shipped in compliance with all applicable foreign, federal, state and local laws, rules and regulations, including but not limited to the Toxic Substances Control Act, the Occupational Safety and Health Act, the Clean Air Act, the Federal Water Pollution Control Act, the Solid Waste Disposal Act, the Resource Conservation, the Foreign Corrupt Practices Act of 1977 of the United States of America, 91 Statutes at Large, Sections 1495 et seq., as from time to time amended, the Export Administration Act of 1979 of the United States, 93 Statutes at Large, Section 503 et. seq., as from time to time amended, or any successor act and all regulations promulgated there under and Recovery Act and the Hazardous Materials Transportation Act and all applicable privacy laws and regulations.

CONFLICT MINERALS – Seller acknowledges that Electronic Fasteners is subject to the U.S. Securities and Exchange Commission’s Conflict Mineral Rule (Rule 13p-1 under the Securities Exchange Act of 1934, as amended), which requires it publicly to disclose certain information, if it has any tantalum, tungsten, tin or gold (a “Conflict Mineral”) that is necessary to the functionality or production of a product manufactured or contracted by it to be manufactured, and to disclose additional information if it has reason to believe that any such Conflict Mineral may have originated in the Democratic Republic of the Congo or any of the countries adjoining that country (the “Covered Countries”). Seller agrees to provide Electronic Fasteners with all such certifications and agrees to provide Electronic Fasteners with all such certifications and information as Electronic Fasteners may request, in order to facilitate compliance with that Rule, and in turn to require such certifications and information from all suppliers to Seller as may be necessary or appropriate, as determined by Electronic Fasteners, to facilitate compliance with that Rule. Moreover, Seller agrees to comply with any policy or policies that Electronic Fateners may adopt with respect to the Rule, which may include provisions limiting or prohibiting use of any Conflict Minerals originating in a Covered Country, and Electronic Fasteners shall provide Seller with a written copy of any such policy.

NON-DISCRIMINATION IN EMPLOYMENT – This contractor and subcontractor shall abide by the requirements of 41 CFR 601.4(a), 60300.5(a) and 60741.5(a). These regulations prohibit discrimination against qualified individuals based on their status as protected veterans or individuals with disabilities, and prohibit discrimination against all individuals based on their race, color, religion, sex, sexual orientation, gender identity or national origin. Moreover, these regulations require that covered prime contractors and subcontractors take affirmative action to employ and advance in employment individuals without regard to race, color, religion, sex, sexual orientation, gender identity, national origin, disability or veteran status.

US State Dept. authority for export of such technical data from US is required. Re -export, re-transfer, or disclosure to unauthorized parties, including non-US Persons is prohibited in accordance with OMP-DSP5 license 050546116 (TA- 0027-15)
EAR – Supplier is obligated to inform Electronic Fasteners if purchased item is subject to EAR export restrictions

RoHS/REACH compliance: Where appropriate, all materials purchased on this Order must comply with the latest version/recast of the Restriction of Hazardous Substances Directive 2002/95/EC and Registration, Evaluation, Authorisation, and Restriction of Chemicals EC 1907/2006. Confirming orders must state compliance. Packaging must be labeled with compliance and a Certification of Compliance to the latest version of this directive provided with each shipment

Proposition 65 – Suppliers are: (1) prohibited from knowingly discharging listed chemicals into sources of drinking water; and (2) required to provide a “clear and reasonable” warning before knowingly and intentionally exposing anyone to a listed chemical. A Proposition 65 warning means the supplier has evaluated the exposure and has concluded that it exceeds the “no significant risk level”; or (2) the supplier has chosen to provide a warning simply based on its knowledge about the presence of a listed chemical without attempting to evaluate the exposure.

Country of Origin must be noted on packing slips.
RECORD RETENTION AND AUDIT. Seller shall maintain all records related to this Purchase Order for a period of ten (10) years after final completion (“Retention Period”). Buyer shall have the right to audit, copy and inspect all such records, including all electronic records, files and renderings which are retained in computers or on other electronic media, at all reasonable times during the course of performance and during the Retention Period.

FLOWDOWN: Supplier must flow down to sub-tier suppliers the applicable requirements
in the purchasing documents including key characteristics when required.
When required, Supplier will secure approval from customer for product, procedures,
processes and equipment. If required purchaser may require proof of qualifications of personnel. If required by flow down Supplier must have required QMS system in place. The need to:

  • Implement a quality management system;
  • Use customer-designated or approved external providers, including process sources (e.g., special processes);
  • Notify the organization of nonconforming processes, products, or services and obtain approval for their disposition;
  • Prevent the use of suspected unapproved, unapproved, and counterfeit parts;
  • Notify the organization of changes to processes, products, or services, including changes of their external providers or location of manufacture;
  • Flow down to external providers applicable requirements including customer requirements;
  • Provide a certificate of conformity, test reports, or authorized release certificate, as applicable;
  • Retain documented information, including retention periods and disposition requirements;

The right of access by the organization, their customer, and regulatory authorities to the applicable areas of facilities and to applicable documented information, at any level of the supply chain; Ensuring that persons are aware of:

  • Their contribution to product or service conformity;
  • Their contribution to product safety
  • Their importance of ethical behavior
